Distributor Terms

You get the non-exclusive right to resell the BioSkepsis Plus, Pro, Team and Organization plans in the countries or regions named in your Distributor Agreement. BioSkepsis lists you as a BioSkepsis distributor for those named countries or regions.

You buy each BioSkepsis plan from BioSkepsis at a discount below the published BioSkepsis price. Your discount for each agreement year depends on your BioSkepsis sales in the previous agreement year, counted at published BioSkepsis prices.

For example, a distributor with a 20% discount pays BioSkepsis €600 for one Pro plan paid annually, because 20% below the published €750 annual Pro price is €600.

Your distributor rights are non-exclusive, so BioSkepsis may appoint other distributors in the same countries or regions and may sell BioSkepsis plans directly in the same countries or regions. BioSkepsis does not set a minimum sales target for distributors.

You set your own resale price for BioSkepsis plans. BioSkepsis may publish recommended prices, and a BioSkepsis recommended price is never binding on you. BioSkepsis does not stop you from answering customers who contact you from outside the countries or regions named in your Distributor Agreement.

You send BioSkepsis an order for each customer, naming the customer, the BioSkepsis plan and the number of seats. BioSkepsis sends you an invoice at your discounted price. You pay the BioSkepsis invoice before BioSkepsis activates the customer's BioSkepsis plan. Each renewal works in the same way, so you pay the renewal invoice before BioSkepsis renews the customer's BioSkepsis plan. Each customer's BioSkepsis account belongs to the customer.

You answer your customers' questions about BioSkepsis first, in the local language. You pass technical problems that you cannot solve to BioSkepsis support, and BioSkepsis support handles those technical problems.

• You must describe BioSkepsis accurately and must not make claims about BioSkepsis that BioSkepsis does not publish itself.
• You must follow the laws that apply to your sales of BioSkepsis plans, including tax, export and anti-bribery laws.
• You must tell BioSkepsis promptly about any customer complaint that concerns the quality or accuracy of BioSkepsis.

You may use the BioSkepsis name and logo only in the way the BioSkepsis brand guidance allows. You must not register the BioSkepsis name, logo or any similar name as a trademark or internet domain in your own name.

BioSkepsis handles each customer's BioSkepsis account and usage data under the BioSkepsis Privacy Notice. BioSkepsis shares with you only the account status and billing information that you need to sell, renew and support each customer's BioSkepsis plan. You handle your own customer data under your own privacy notice and under the EU General Data Protection Regulation (GDPR), the EU law on personal data.

The Distributor Agreement lasts one year from signature. The Distributor Agreement renews automatically for one more year at the end of each agreement year, unless either party gives written notice at least 30 days before the end of the agreement year. Either party may end the Distributor Agreement at once if the other party seriously breaks the Distributor Agreement or these Distributor Terms.

Each customer keeps the customer's BioSkepsis plan until the end of the period the customer has already paid for. After the paid period ends, each customer may renew directly with BioSkepsis or through another BioSkepsis distributor. You must stop presenting yourself as a BioSkepsis distributor on the date the Distributor Agreement ends.

You are responsible for your own taxes on your BioSkepsis sales. VAT is added to BioSkepsis invoices where VAT applies, and the EU reverse-charge rule, under which the buyer rather than the seller accounts for VAT, applies to VAT-registered distributors in EU member states other than Cyprus.

The signed Distributor Agreement sets the warranties, the indemnity and the limits of liability of each party. BioSkepsis will tell distributors by email before any change to these Distributor Terms or to published BioSkepsis prices takes effect.

Cyprus law and applicable EU law govern these Distributor Terms and the Distributor Agreement. The District Court of Larnaca has exclusive jurisdiction over any dispute about these Distributor Terms or the Distributor Agreement.
