API Integration Partner Terms

You pay nothing to use the BioSkepsis API.

You earn 30% of the first annual BioSkepsis plan payment made by each user who joins through your app. The first annual payment covers the user's first 12 months, so your earnings for each user cover those first 12 months only.

Monthly BioSkepsis plan payments do not earn any commission under the API Integration Partner Programme. Renewal payments made after a user's first annual payment do not earn any commission under the API Integration Partner Programme.

Each user of your app signs in to BioSkepsis with the user's own BioSkepsis account through the BioSkepsis sign-in inside your app. Each user buys the user's BioSkepsis plan from BioSkepsis, and BioSkepsis bills the user directly. You do not collect payments for BioSkepsis plans. BioSkepsis sends you the API access details and the API documentation after both parties sign the API Integration Partner Agreement.

A user counts as joining through your app when the user buys a BioSkepsis annual plan after signing in to BioSkepsis through the BioSkepsis sign-in inside your app. Existing BioSkepsis free-plan users count when the free-plan users buy an annual plan in the same way. No commission is payable where a payment does not go through and BioSkepsis does not receive the money.

BioSkepsis sends you a statement within 15 days after the end of each calendar quarter. Each quarterly statement lists the users who joined through your app, the annual plans those users bought, and the commission due to you. You send BioSkepsis an invoice for the commission shown in the quarterly statement, and BioSkepsis pays each invoice within 15 days of receiving the invoice. There is no minimum payout amount, so BioSkepsis pays whatever commission is due.

If BioSkepsis refunds an annual payment, or a bank reverses an annual payment, the commission on that annual payment is cancelled. BioSkepsis may subtract a cancelled commission that was already paid from your next commission payment, or ask you to repay the cancelled commission within 30 days when no further commission is expected.

You can join the API Integration Partner Programme only if you are 18 or over or you apply as a registered legal entity.

You may integrate other research tools into your app, and BioSkepsis may work with other API integration partners, including partners whose apps compete with your app.

• You must keep the BioSkepsis API access details secret and must not share the BioSkepsis API access details with anyone outside your organisation.
• You must use the BioSkepsis API only as the BioSkepsis API documentation and the signed API Integration Partner Agreement describe.
• You must not sell, rent or give access to the BioSkepsis API to anyone else.
• You must not ask users of your app for their BioSkepsis passwords, because users sign in only through the BioSkepsis sign-in.
• The signed API Integration Partner Agreement sets the API usage limits that apply to your app.
• BioSkepsis will tell you in advance before BioSkepsis changes or retires any BioSkepsis API function that your app uses, and the signed API Integration Partner Agreement sets the length of that advance notice.

You may use the BioSkepsis name and logo only in the way the BioSkepsis brand guidance allows. You must describe BioSkepsis accurately and must not make claims about BioSkepsis that BioSkepsis does not publish itself. You must not suggest that BioSkepsis endorses your app beyond the BioSkepsis integration.

Each user's BioSkepsis account data is handled under the BioSkepsis Privacy Notice. You handle the data of your own app users under your own privacy notice and under the EU General Data Protection Regulation (GDPR), the EU law on personal data. You must not collect, store or reuse BioSkepsis account data beyond what your app needs to show BioSkepsis results to the signed-in user.

Either party may end the API Integration Partner Agreement with 30 days' written notice. Either party may end the API Integration Partner Agreement at once if the other party seriously breaks the API Integration Partner Agreement or these API Integration Partner Terms. When the API Integration Partner Agreement ends, BioSkepsis still pays the commission on annual payments that BioSkepsis received before the end date, and you must stop using the BioSkepsis API and remove the BioSkepsis integration from your app.

You are responsible for your own taxes on the commission you earn. VAT is added to your invoice where VAT applies, and the EU reverse-charge rule, under which the buyer rather than the seller accounts for VAT, applies to VAT-registered partners in EU member states other than Cyprus.

The signed API Integration Partner Agreement sets the warranties, the indemnity and the limits of liability of each party. BioSkepsis will tell API integration partners by email before any change to these API Integration Partner Terms takes effect.

Cyprus law and applicable EU law govern these API Integration Partner Terms and the API Integration Partner Agreement. The District Court of Larnaca has exclusive jurisdiction over any dispute about these API Integration Partner Terms or the API Integration Partner Agreement.
